HETTICH UK LIMITED PARNERSHIP
(hereafter called 'the Seller')

1. Quotations.
Prices are exclusive of VAT
Prices include delivery to the buyers address if within the UK, otherwise ex works.
Prices on quotations are valid for orders accepted within 3 months of the quotation date unless otherwise stated.
Prices may be amended by the Seller in line with significant change in raw material, exchange rate or other factor beyond the control of the seller.
Any clerical error or omission may be corrected by the Seller without liability.
The issuing of a quotation is not a binding contract between the Seller and the Buyer.

2. Delivery.
The Seller will use its best endeavours to deliver the goods within a time that may have been agreed between the Seller and the Buyer.  The Seller shall in no circumstances be liable to the Buyer for any failure to deliver or delay in delivery however caused.
The Seller shall be entitled to deliver up to 10% above or below the amount of any consignment of the goods due to be delivered and shall adjust the amount of the invoice relating to such consignment accordingly.
Delivery documents must be signed by the Buyer on receipt of the goods.

3. Claims
In the event that there is any shortage of delivered quantities the Seller must be notified within seven days of receipt of the goods.  If any goods are damaged the Seller must be notified within seven days of receipt of goods.
Requests for proof of delivery cannot be accepted beyond 28 days from date of invoice.

4. Payments
Unless otherwise agreed by the Seller in writing, the terms of payment are net cash monthly account due and payable on the last day of the month following the month in which the invoice was issued.
In the event of any dispute, accounts must be paid on the due date excluding only the value of the disputed item or values which could be legitimately excluded until the dispute is resolved.
The seller reserves the right to charge interest on overdue accounts at 4% above UK Libor rate.

5. Risk and Title
The risk in the goods shall pass to the buyer on delivery.
Legal title in the goods shall remain with the Seller until the Buyer has paid all monies due on the account in respect of any goods whenever supplied against any order/s received or  invoice/s that are unpaid on the account.
Until legal title has passed to the Buyer, the Buyer shall deliver up the goods to the Seller on demand.

6. Indemnity
The buyer shall fully and promptly indemnify the Seller in respect of any claim made against the Seller by a third party arising out of or connected with the goods or any use to which the goods may be put to by the Buyer.

7. Force Majuere
Neither party shall be under any liability for any delay, loss or damage caused wholly or in part by act of God, government restriction, condition or control or by reason of any act done or not done pursuant to trade dispute whether such dispute evolves its employees or not by reason of any other act, matter or thing beyond its reasonable control including failure by the other party to carry out the provisions of these Conditions.

8. Return of Goods
With permission of the Seller, unsuitable goods may be returned within 30 days of delivery, providing they are in good condition.
For standard product stocked by Hettich UK, a 15% handling charge will be made.
For non-standard products supplied by Hettich UK a 25% handling charge will be made.
Responsibility for the return of the Goods to the premises of the Seller rests with the Buyer.
The Buyer will bear the costs relating to the return.
